Regional Head - Legal (South Zone - Bangalore)

About the Role

Arvind SmartSpaces is seeking an experienced and personally driven Regional Head - Legal to lead the legal function across its South Zone operations, with a primary focus on Bangalore and other future strategic markets.

The role will be responsible for providing strategic legal leadership across the entire lifecycle of real estate projects, including land acquisition, title due diligence, transaction structuring and closure, litigation management, RERA and regulatory compliance, contract management, legal risk mitigation, and stakeholder engagement.

The incumbent will act as a key business partner to senior leadership, ensuring that all transactions are legally sound, commercially viable, and aligned with the Company's growth objectives. A significant focus of the role will be on driving acquisition closures through robust title due diligence, minimizing legal risks, resolving litigation efficiently, and optimizing legal costs through effective case management and process improvements.

KEY RESPONSIBLITIES

1. Title Due Diligence, Land Acquisition & Transaction Closure

  • Lead and oversee all legal aspects of land acquisition and business development initiatives across the South Zone.
  • Manage and supervise comprehensive title due diligence for land acquisitions internally, including examination of title records, revenue records, encumbrances, land-use restrictions, regulatory approvals, litigation searches, and ownership verification.
  • Liaising with the external counsels and law firms to obtain title reports.
  • Identify legal risks and title defects, provide detailed risk assessments, and recommend practical and commercially viable mitigation measures.
  • Ensure timely legal clearance of acquisition opportunities and support business development team in informed decision-making.
  • Structure, draft, review, negotiate and finalize transaction documents including:
  • Joint Development Agreements (JDAs)
  • Development Management Agreements (DMAs)
  • Joint Venture Agreements
  • Sale Deeds
  • Lease Deeds
  • Powers of Attorney
  • Settlement Agreements
  • Share Purchase Agreements involving land-owning entities
  • Work closely with landowners, developers, consultants, government authorities and internal stakeholders to ensure seamless transaction execution and closure.
  • Oversee document registration and completion of all statutory formalities for successful transaction closure.
  • Following standardized title due diligence and acquisition frameworks to reduce legal risks and improve turnaround times.
  • Ensure legal readiness of projects by securing clear, marketable and litigation-free title positions.

2. Litigation Management & Dispute Resolution

  • Lead the management of all civil, commercial, consumer, regulatory and land-related litigation across the region and maintain a management information system for all litigations and potential disputes.
  • Formulate litigation strategies aligned with business objectives, focusing on timely resolution and risk mitigation.
  • Manage the complete litigation lifecycle, including legal notices, pleadings, evidence management, hearings, appeals and execution proceedings.
  • Drive closure of long-pending litigation matters through strategic legal interventions and commercially prudent settlement mechanisms wherever appropriate.
  • Monitor litigation exposure and provide regular assessments of legal risks and potential financial liabilities.
  • Manage external counsels and law firms, ensuring quality representation, cost-effectiveness, accountability and efficient case handling.
  • Establish litigation tracking systems and dashboards to monitor:
  • Case status
  • Legal exposure
  • Recovery opportunities
  • Spend on litigation matters
  • Identify opportunities to reduce litigation costs while maintaining effective legal representation and favourable outcomes. Minimize contingent liabilities through proactive dispute management and legal risk mitigation strategies.

  • 3. Legal Advisory & Risk Mitigation

  • Act as a strategic legal advisor to business, acquisition, projects and senior management teams.

  • Provide legal opinions and commercially focused advice on land transactions, property rights, real estate laws, development structures, dipsutes and regulatory matters.

  • Assess legal risks associated with acquisitions, ongoing projects and new business opportunities.

  • Support management in formulating legal strategies for high-value and complex transactions.

  • Develop and implement legal risk management frameworks to protect the Company's interests and facilitate sustainable growth.

4. Regulatory Compliance & RERA Management

  • Ensure compliance with all applicable real estate, corporate and regulatory requirements across the South Zone.
  • Lead and oversee all RERA-related compliances for ongoing and completed projects with HO.
  • Ensure timely preparation, review and filing of:
  • Quarterly RERA updates and disclosures
  • Annual RERA compliances and certifications
  • Project registration and extension applications
  • Regulatory submissions and responses to regulatory authorities
  • Coordinate with internal teams, consultants, auditors and project stakeholders to ensure accurate and timely compliance reporting.

  • Monitor changes in applicable laws and regulations and implement necessary compliance measures. Conduct periodic legal and compliance reviews to identify and address regulatory risks proactively.

  • 5. Contract Management & Commercial Documentation

  • Lead drafting, review and negotiation of commercial contracts and project-related documentation.

  • Ensure contractual arrangements appropriately protect the Company's legal and commercial interests.

  • Establish contract governance mechanisms and standard documentation practices across the region. Support cross-functional teams in reviewing and negotiating commercial agreements with vendors, consultants, contractors and business partners.

  • 6. Team Leadership & Stakeholder Management

  • Lead, mentor and develop a high-performing regional legal team.

  • Set clear objectives, performance indicators and development plans for team members.

  • Foster a culture of accountability, collaboration, commercial orientation and solution-driven legal support.

  • Build strong relationships with internal stakeholders including business development, projects, finance, sales and senior leadership teams. Drive legal awareness and capability building across functions.

  • Qualifications & Experience

Education

  • Bachelor's Degree in Law (LL.B.) from a recognized institution.
  • Master's Degree in Law (LL.M.) will be an added advantage.

Experience

  • 10+ years of post-qualification experience in legal roles, preferably within real estate, law firms or related industries.
  • Significant experience in title due diligence, land acquisition, transaction structuring and transaction closure.
  • Proven track record of handling and resolving complex litigation matters.
  • Experience managing legal teams and partnering with senior business stakeholders.

Key Competencies

  • Deep expertise in land acquisition, title due diligence and transaction closure.
  • Strong knowledge of property laws, land laws, registration processes and real estate regulations.
  • Extensive experience in litigation management and dispute resolution.
  • Strong understanding of RERA compliance requirements, including quarterly and annual filings.
  • Proven ability to manage legal risks while delivering commercially practical solutions.
  • Excellent drafting, negotiation, leadership and stakeholder management skills.
  • Strong commercial acumen with a focus on efficiency, cost optimization and business enablement.
