Role Overview
We are seeking a motivated and detail-oriented Company Secretary (CS) to join our team. This role is
ideal for a qualified CS who is keen to build hands-on exposure in secretarial, regulatory, and
compliance functions, particularly within a group structure that includes a regulated NBFC entity.
You will work closely with senior management, auditors, legal advisors, and regulators to support
corporate governance and statutory compliance across group companies.
Key Responsibilities
- Managing secretarial activities, including coordinating Board and General Meetings, preparing
agendas and minutes, and collaborating with the legal team, business team, shareholders,
directors, and regulators.
- Supporting due diligence exercises, audit requirements, and closure of observations raised by
Internal Auditors, Statutory Auditors, and Secretarial Auditors.
- Assisting in regulatory correspondence and responding to queries from regulators, including the
Reserve Bank of India (RBI), under guidance.
- Supporting private placement of securities, rights issues, and other fundraising-related
compliances.

Assisting in preparation of Board Reports, Annual Reports, and related disclosures.

Monitoring and supporting compliance with RBI Master Directions / Circulars applicable to NBFCs.

Preparing and filing periodic returns and notifications with the RBI and other regulatory authorities.

Assisting in drafting and updating internal policies related to NBFC and corporate compliances.

Supporting ISIN creation and corporate actions on NSDL and CDSL issuer portals.

Liaising with external authorities such as ROC, RD, RTA, and other statutory bodies for filings and
approvals.

Assisting in FEMA-related compliances including FC-GPR, ECB, and FLA filings, under supervision.

Handling filings and compliances on the MCA V3 portal, including various e-forms.

Ensuring compliance with the Companies Act, 2013 and Secretarial Standards, with regular
updates to statutory registers and records.
Qualifications & Skills

Qualified Company Secretary with valid ICSI membership.

0-3 years of post-qualification experience (freshers are welcome to apply).

Basic working knowledge of the Companies Act, 2013 and Secretarial Standards.

Exposure to or interest in RBI, FEMA, and NBFC compliances will be an added advantage.

Familiarity with MCA portal, RBI filings, and statutory documentation is desirable.

Good communication and coordination skills with attention to detail.

Willingness to learn, adapt, and work in a fast-paced regulatory environment.

LLB will be an added advantage.
